1. Legal Advisory & Professional Expertise

Serve as the primary professional advisor to the Board of Directors on corporate matters and the pharmaceutical/healthcare sector (distribution, logistic, contract logistics..).

Interpret and translate Vietnamese laws into practical, actionable guidance for all relevant departments.

Develop legal roadmaps to support business objectives while ensuring all operations meet current regulatory requirements.

Monitor legal updates to assess their impact on the Company’s operations and reputation.

2. Contract Management & Standardization

Review and negotiate commercial contracts (sales, logistics, NDAs), focusing on risk mitigation and operational efficiency.

Provide clear legal opinions on material risk clauses, including liabilities, penalties, and termination provisions.

Standardize master contract templates and approval protocols to minimize exposure and optimize processing time.

Collaborate closely with Business and Operations teams to ensure legal processes are streamlined and customer-focused.

3. Corporate Governance & Legal Regulations

Oversee the proper execution of industry licenses, business conditions, and intellectual property protection for the "GONSA" brand.

Control the legal aspects of dossiers for the General Meeting of Shareholders and the Board of Directors, including agendas, resolutions, minutes, and information disclosure.

Manage corporate governance records in accordance with applicable laws and the Company Charter.

Ensure all legal requirements for pharmaceutical business conditions are met fully and timely.

4. Risk Management, Disputes & Team Leadership

Identify legal risks and develop mitigation strategies for commercial disputes, claims, and litigation.

Coordinate with external law firms for specialized advisory services, managing budgets and overseeing the quality of deliverables.

Represent the Company in negotiations and dispute resolution proceedings under authorization.

Provide regular professional guidance and training to staff to ensure consistent advisory quality and develop team capabilities.

REQUIREMENT:

1. Core Competencies

Proactive problem-solving mindset with the ability to balance strict legal rules with dynamic business needs.

Exceptional skills in contract drafting, negotiation, and legal appraisal.

Deep understanding of Commercial Law, Corporate Law, and industry-specific regulations.

Excellent in both English and Vietnamese speaking & writing

2. Professional Experience

At least 5 to 7 years of experience in corporate law.

Minimum of 2 years in a senior specialist or team lead capacity.

Experience in the Pharmaceutical, Healthcare, or FMCG industries is preferred.

3. Education & Certification

Bachelor of Laws (LL.B.) or higher degree.

A valid Lawyer Practicing Certificate is a strong advantage.
